This is a summary of the official meeting held to ratify the revised By-Laws to comply with the new ONCA regulations and to approve the incorporation of the Rotary Club of Oshawa-Parkwood.
Special Meeting Called to Order at 8:11 PM: by President David Mankiewicz
Motion # 1: Ratification By-Laws No. 1
WHEREAS the Board of Directors of the Rotary Club of Oshawa-Parkwood, by resolution adopted on September 2, 2025, approved By-Law No.1 relating to the general conduct of the business and affairs of the Club.
AND WHEREAS the Board of Directors now submits this By-Law No. 1 for ratification by the Members at this Special General Meeting.

Discussion:
Pat Dyck noted that there seemed to be two different regulations for the appointment of a Sargent-at-Arms.
Section 2.01 (g) states the President would appoint.
Section 2.03 states the elected Officers and Directors select the Sargent-at-Arms.
After a discussion to clarify, it was decided to amend By-Law No. 1 by deleting 2.03 the sentence “and elect a member of the club to act as Sergeant-At-Arms”.
Section 2.03 now reads “The Officers and Directors, so elected, together with the Immediate Past President, shall constitute the Board. Within one week after their election, the Directors-Elect shall meet.”
Section 2.01 (g) stands as the requirement.
Pat Dyck also had a question regarding Section 5.09 Duties of Committee Chairs. After a clarification from David Andrews and Donald Igbokwe, no changes were needed.
Motion to approve the amended By-Law No. 1 was unanimously approved.
Motion # 2 Authorization to Incorporate the Rotary Club of Oshawa-Parkwood
WHEREAS the Board of Directors of the Rotary Club of Oshawa-Parkwood, by resolution adopted on Sept 17, 2024, approved to incorporate the Rotary Club of Oshawa-Parkwood, based on the laws of Ontario, Canada.
BE IT RESOLVED that in accordance with the Club and By-laws, the Members present at the Special Meeting hereby authorize and empower the Board of Directors to take all necessary actions to incorporate the Rotary Club of Oshawa-Parkwood as a legal entity under the laws of the Province of Ontario.

Discussion:
Questions about timelines and who was responsible for submitting the incorporation were clarified. There were no other discussions.
Motion to approve the incorporation of Rotary Club of Oshawa-Parkwood was unanimously approved.
President David closed the special meeting at 8:35 PM.
